Minutes of the Meeting of the FRCA Board of Directors

January 4,2012

The Falls Run Community Association, Inc.'s Board of Directors met on January

4,2012 for an Executive Session regarding personnel.

The meeting was called to order at 3:00 PNI by President Dan Owens and

immediately convened in Executive Session.

Present: Dan Owens, Leonard Bogaev, Toni Brown, John Balducci, Nancy Arnn,

Stephanie Mounts and Karl Kabza.

Also attending: General Manager Ted Wessel.

It can be reported that the main purpose of the meeting was to meet the candidate

being proposed as the Association's new Activity Director.

**Also, without a formal motion but with unanimous consent, the Board agreed

that the administrative assistant can finish out January 2012 on a full time basis.

An Organizational Chart has been created and will be presented for action by the

Board at the regular meeting of January 25,2012

The Executive Session was adjourned and the Board reconvened in Open Session

at 5:00 PM.

**It is moved by Toni Brown, seconded by Karl Kabza, that upon the

recommendation of General Manager Ted Wessel that the Board of Directors

ratify the hiring of Doreen Barnes as Activities Director effective January 12,2012

at the agreed upon salary. Approved unanimously.

The meeting adjourned at 5:01 PM without objection.
